Cancelling an LLC

If you are cancelling an LLC, whatever the reason, the State of Delaware requires a filing a Certificate of Cancellation with the Division of Corporations to officially cancel it in the State of Delaware. All applicable franchise tax, including for the current year, must be submitted prior to file the Certificate of Cancellation.

Properly cancelling an LLC is important because unless you successfully cancel the LLC, it will continue to be assessed franchise tax, penalties, and interest by the State, and will be responsible for maintaining a registered agent in Delaware.

All too often, an LLC is not successfully cancelled because the wrong form is used or incorrect fees are submitted, although the customer thinks the LLC has been closed.
